That seemingly impressive equity package that they’re throwing in with their offer may wind up being a red flag for you as you consider accepting or not. I’m Jeff Altman, The Big Game Hunter. If you’re joining a startup or a private firm with high growth potential, the upside can be huge, and I’ll simply say it could also wind up being nothing. Equity compensation often includes equity, but founders and boards sometimes toss around percentages without any context for them. “We’re going to add in 2% equity” that means nothing without understanding the cap table, the valuation, the vesting schedule, the liquidation preferences they have, and the exit strategy. You may wind up in a situation where that equity is worth nothing.
So if you’re joining a startup or private firm with huge upside potential, obviously the equity can wind up being massive, but you need to do your due diligence to make sure that you understand the cap table visibility, understand the last valuation round, and get a clear idea of the vesting schedule.
